Abstract
Reviews key features of the UK’s Corporate Governance Code, and its reliance on shareholders and investors to monitor compliance. Examines the “comply or explain” provisions, the absence of a regulatory body to police their operation, whether their voluntary nature is effective, and the quality of the explanations provided. Considers the benefits of a regulatory regime with effective enforcement powers, and whether one should be introduced.
